| Dynacons Systems & Solutions Ltd has informed BSE that by an order made on June 25, 2010, the High Court of Judicature at Bombay has directed that a meeting of the Equity Shareholders of Dynacons Systems & Solutions Ltd, the Applicant Company, will be held on July 28, 2010, for the purpose of considering, and if thought fit, approving, with or without modification, the arrangement embodied in the Scheme of Arrangement between Dynacons Systems & Solutions Ltd. and Dynacons Technologies Ltd. and their respective Shareholders and Creditors (the "Scheme of Arrangement").
Dynacons Systems & Solutions Ltd has informed BSE that the resolution proposed at the Court Convened meeting of the members of the Company held on July 28, 2010, for approving the Scheme of Arrangement between the Company and Dynacons Technologies Ltd. ("Scheme of Arrangement") has been approved by the shareholders comprising three fourths in value and majority in number.
