| Infinite Computer Solutions (India) Limited has informed the Exchange that Annual General Meeting (AGM) of the Company is scheduled to be held on September 19, 2011. The Share transfer books of the Company would accordingly be closed for the purpose of AGM, from September 12, 2011 to September 19, 2011 (both days inclusive).
Infinite Computer Solutions (India) Ltd has informed BSE that the 12th Annual General Meeting (AGM) of the Company was held on September 19, 2011 inter alia, have approved the following:
1. Adoption of audited balance sheet as at March 31, 2011 and profit & loss Account for the year ended on that date together with the report of directors and auditors thereon.
2. Re-appointment of Mr. Ajai kumar Agrawal as a Director of the Company.
3. Re-appointment of M/s Amit Ray & Co. as Auditors of the Company to hold office upto the conclusion of the next AGM and authorized the Board of Directors to fix their remuneration.
4. Re-appointment of Cmde. Navin Chandra s the Whole Time Director of the Company.
5. Partial Modification of the Vesting Criteria and Appraisal Process for determining the eligibility of employees under "Key Executives Performance Option Plan 2010".
6. Extension of the benefits of Item No. 5 above to eligible employees of Subsidiary Companies.
