| The Bank has been decided to convene an Extraordinary General Meeting on June 21, 2010, to seek the approval of the Members to the Scheme of Amalgamation of The Bank of Rajasthan Ltd. with ICICI Bank Ltd.
ICICI Bank Ltd has informed BSE that the Extra Ordinary General Meeting (EGM) of the Bank will be held on June 21, 2010, inter alia, to authorise the Board of Directors of the Bank ("the Board", which expression shall be deemed to include any Committee(s) constituted/to be constituted or any other person authorised/to be authorised by the Board/Committee to exercise its powers including the powers conferred by this Resolution) to accept, the consent and approval of the Members of the Bank to the amalgamation of The Bank of Rajasthan Limited (the "Transferor Bank") with the Bank with effect from the date on which the Scheme of Amalgamation ("the Scheme") is sanctioned by RBI or such other date as may be specified by RBI by an order in writing passed in this behalf under the provisions of Section 44A of the Banking Regulation Act, 1949, subject to necessary provisions and approvals.

The shareholders of the Bank approved the resolution for the amalgamation of The Bank of Rajasthan Limited with ICICI Bank Limited through a poll at the Extraordinary General Meeting of the Bank held on June 21, 2010, by a majority in number representing two-thirds in value of the shareholders, present in person or by proxy. "ICICI Bank Ltd held its Extra Ordinary General Meeting (EGM) on June 21, 2010, for seeking the approval of the shareholders for the scheme of amalgamation of Bank of Rajasthan Ltd (Bank of Rajasthan) with ICICI Bank Ltd (ICICI Bank). The amalgamation was approved by 99.995% in value and 99.64% in number, of the shareholders present and voting. The amalgamation is subject to the approval of Reserve Bank of India (RBI) and such other approvals as may be required. The share exchange ratio has been fixed at 25 equity shares of ICICI Bank for every 118 equity shares of Bank of Rajasthan.
